These Terms of Use govern access to and use of the official website of Goyaz Consulting, a Brazilian private legal entity enrolled with the Brazilian company registry (CNPJ) under No. 67.896.940/0001-81, available at goyazconsulting.com and through other official digital channels operated by the firm (together, the "Site").

By accessing the Site, the user confirms that they have read, understood, and accepted these Terms in full, and agrees to comply with them. If the user does not agree with any provision set out here, they must refrain from using the Site.

2. Purpose and Nature of the Site

The Site is institutional and informational in nature. Its purpose is to present Goyaz Consulting, its methodology, its internationalization consulting services, and its institutional materials, and to make communication channels available for commercial contact.

Content published on the Site does not constitute legal, tax, accounting, financial, regulatory, or investment advice under any circumstances. Goyaz Consulting's consulting services are provided solely under a specific written agreement between the parties, setting out the scope, deliverables, timeline, fees, and other commercial terms.

3. Permitted Use

Users may access and use the Site for the following purposes:

a. To learn about Goyaz Consulting, its work, and its team; b. To consult institutional materials and published documents; c. To initiate commercial contact through the channels made available on the Site; d. To share links to the Site, provided that the integrity of the content and proper attribution to Goyaz Consulting are preserved.

4. Prohibited Conduct

Users are expressly prohibited from:

a. Using the Site for any unlawful purpose or any purpose contrary to public order or good faith; b. Reproducing, distributing, modifying, creating derivative works from, commercially exploiting, or otherwise using any content of the Site without Goyaz Consulting's prior express authorization; c. Using automated data collection tools (crawlers, scrapers, bots) without authorization, other than legitimate search engines that respect the Site's technical standards; d. Attempting unauthorized access to restricted areas, systems, or databases connected to the Site; e. Introducing malicious code, launching cyberattacks, or engaging in any other conduct that compromises the integrity, availability, or security of the Site; f. Using the Site to disseminate defamatory, discriminatory, or fraudulent content, or content that infringes the rights of third parties; g. Falsely presenting oneself as a representative of Goyaz Consulting, or using its name, brand, logo, or visual identity without authorization.

Any breach of this Clause 4 may result in access being blocked, in Goyaz Consulting taking appropriate measures to protect its rights, and in civil and criminal liability of the infringer under applicable law.

5. Intellectual Property

All content published on the Site — including, without limitation, text, videos, trademarks, logos, visual identity, information architecture, source code, methodologies, frameworks, and institutional materials — is the exclusive property of Goyaz Consulting, or of third parties who have authorized its use, and is protected by Brazilian Law No. 9,610/1998 (Copyright Act), Brazilian Law No. 9,279/1996 (Industrial Property Act), and applicable international law, including the Berne Convention for the Protection of Literary and Artistic Works.

Access to the content does not transfer any intellectual property rights to the user. Quotation of excerpts for academic, journalistic, or analytical purposes is permitted, provided that proper attribution is given to Goyaz Consulting and that a link is included to the original source.

Goyaz Consulting's proprietary methodologies, frameworks, and materials — in particular the six-workstream structure, the five-step method, and the four engagement tiers — are proprietary works owned by the firm and may not be reproduced, adapted, or commercially exploited by third parties without prior express authorization.

6. Trademarks

"Goyaz Consulting" and the visual elements associated with the firm are trademarks owned by QUEIROGA E SAURAMA CONSULTORIA LTDA., protected under Brazilian Law No. 9,279/1996 and applicable international treaties. Nothing in these Terms grants users any license or right to use these trademarks.

7. Third-Party Content and External Links

The Site may contain links to pages, platforms, or services operated by third parties (the "External Sites"), made available solely for the user's convenience. Goyaz Consulting does not control, endorse, or take responsibility for the content, policies, or practices of the External Sites, and users should review the applicable terms and policies before using them.

8. Site Availability

Goyaz Consulting takes reasonable steps to keep the Site continuously available and to maintain its performance and security. The Site's operation may nevertheless be affected by scheduled maintenance, technical failures, unavailability of third-party infrastructure, cyberattacks, or events of force majeure.

Goyaz Consulting does not guarantee uninterrupted availability and reserves the right to suspend, modify, or discontinue the Site, in whole or in part, at any time and without prior notice.

9. Limitation of Liability

To the extent permitted by applicable law, Goyaz Consulting shall not be liable for:

a. Damages arising from use of, inability to use, or interruption of the Site; b. Decisions made by the user based solely on the institutional content of the Site — users should seek specific professional advice tailored to their own circumstances; c. Losses arising from content, products, or services made available on External Sites; d. Failures, delays, or unavailability arising from factors outside Goyaz Consulting's reasonable control, including issues with infrastructure providers, cyberattacks, and events of force majeure.

Nothing in these Terms excludes or limits Goyaz Consulting's liability where such exclusion or limitation is prohibited by applicable law.

10. Personal Data Protection

The processing of personal data collected through the Site is governed by Brazilian Law No. 13,709/2018 (General Personal Data Protection Law — LGPD), Brazilian Law No. 12,965/2014 (Internet Civil Framework), and, for users located in the European Economic Area, Regulation (EU) 2016/679 (GDPR), as detailed in Goyaz Consulting's Privacy Policy, which forms an integral part of and complements these Terms.

11. Commercial Contact

The contact channels made available on the Site — including the contact form, institutional email address, and other means indicated on the Site — are intended for receiving requests for information, commercial proposals, and institutional communications.

Sending a message through these channels does not, in itself, constitute engagement of Goyaz Consulting's services, nor does it create any professional obligation or fiduciary duty between Goyaz Consulting and the sender. A consulting engagement is established only after evaluation of the matter, mutual acceptance, and execution of a specific written agreement.

12. Amendments to These Terms

Goyaz Consulting may amend these Terms at any time by publishing an updated version on the Site, with an indication of the date of last update. Continued use of the Site after publication of a new version constitutes acceptance of the changes. Users are encouraged to review these Terms periodically.

The history of previous versions may be made available upon request to Goyaz Consulting's Data Protection Officer.

13. General Provisions

If any provision of these Terms is held invalid, unlawful, or unenforceable by a court or administrative decision, the remaining provisions shall remain in full force and effect.

Any failure by Goyaz Consulting to enforce any provision of these Terms shall not constitute a waiver, novation, or modification of that provision, and Goyaz Consulting may enforce it at any time.

These Terms constitute the entire agreement between Goyaz Consulting and the user with respect to use of the Site, superseding any prior understanding on the same subject matter.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District of São Paulo/SP are elected as the exclusive forum for any dispute arising from these Terms, with express waiver of any other forum, however privileged, unless otherwise required by law.
